1About Erinys

Erinys provides hosted legal-support technology designed to assist licensed attorneys and their supervised personnel in conducting investigations, preparing legal work product, and performing related legal support activities. Erinys provides technology services only. Erinys does not provide legal advice or legal services, does not act as a law firm, and does not establish an attorney-client relationship with any Website visitor, customer’s client, or other third party.

Information made available on the Website is provided for general informational and business purposes only. It is not legal advice, professional advice, or a substitute for advice from a qualified attorney or other professional.

2Relationship to Customer Agreements

If you or your organization has entered into a separate written agreement with Erinys, including a master services agreement, order form, pilot agreement, data processing addendum, business associate agreement, or other written contract, that agreement governs the subject matter covered by it.

If there is a conflict between these Terms and a signed customer agreement regarding access to or use of the Erinys platform, customer data, subscription services, support services, fees, data processing, confidentiality, security obligations, service availability, or platform outputs, the signed customer agreement controls for that subject matter.

These Terms are intended to govern public Website access and related online interactions, including browsing the Website, submitting contact or demo-request forms, downloading public materials, registering for events or marketing communications, and interacting with publicly available Website content.

3Eligibility and Business Use

The Website is intended for business and professional use by legal professionals, law firms, legal departments, compliance professionals, investigators, and other business users. The Website is not directed to or intended for use by individuals under 18 years of age.

You may use the Website only if you are legally able to agree to these Terms and only in compliance with applicable law. If you access or use the Website on behalf of an organization, you represent that you have authority to do so, and references to “you” include both you and that organization where the context permits.

4Website Access and Permitted Use

Subject to these Terms, Erinys grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful business and informational purposes.

You may not use the Website to:

• violate applicable law or the rights of any person;
• submit false, misleading, fraudulent, unlawful, infringing, harmful, or unauthorized information;
• interfere with or disrupt the Website, Erinys systems, security measures, access controls, APIs, or networks;
• introduce malware, viruses, malicious code, scripts, bots, scrapers, or other harmful technologies;
• probe, scan, test, or attempt to bypass vulnerabilities or security measures without Erinys’s prior written authorization;
• reverse engineer, decompile, disassemble, copy, frame, mirror, scrape, or attempt to derive source code, algorithms, models, model weights, training data, workflows, or underlying ideas from any Erinys technology;
• use the Website, Website content, Erinys materials, or any information obtained from the Website to build, train, test, validate, benchmark, or improve any artificial intelligence system, machine learning model, or product or service that competes with Erinys;
• publish or disclose benchmark or performance information about Erinys technology without Erinys’s prior written consent;
• impersonate any person or misrepresent your affiliation with any person or organization;
• use the Website for unsolicited marketing, spam, phishing, or other abusive communications; or
• attempt to access non-public areas of the Website, Erinys systems, customer accounts, or data not intended for you.

Erinys may suspend, restrict, or block access to the Website at any time if Erinys reasonably believes that your use violates these Terms, creates a security or operational risk, may result in liability, or may violate applicable law.

5Accounts, Demonstrations, Trials, and Platform Access

The Website may allow you to request information, schedule a demonstration, join a waitlist, request a pilot, apply for platform access, download materials, or communicate with Erinys. Submitting a request does not guarantee that Erinys will provide a demonstration, pilot, trial, subscription, or platform account.

If Erinys makes any portal, trial, beta, preview, early access feature, sandbox, or authenticated area available to you through the Website, Erinys may require additional terms before you may access it. Unless Erinys expressly agrees otherwise in writing, any beta, preview, trial, experimental, evaluation, or early-access functionality is provided for evaluation only, may be modified or discontinued at any time, and is provided “as is” without warranties, support commitments, indemnities, or service commitments of any kind.

6Information You Submit

You are responsible for all information you submit through the Website, including contact forms, demo requests, support inquiries, survey responses, feedback, uploaded materials, or other communications.

You represent and warrant that you have all rights, permissions, consents, and authorizations necessary to submit that information to Erinys and permit Erinys to use it for the purposes described in these Terms and in Erinys’s Privacy Policy.

Do not submit confidential client information, attorney-client privileged information, protected health information, sensitive personal information, regulated financial information, litigation materials, evidence, legal work product, or other sensitive materials through public Website forms unless Erinys has expressly provided a secure, authorized channel for that purpose and the submission is permitted under your applicable customer agreement and professional obligations.

If you submit feedback, suggestions, ideas, comments, or recommendations regarding Erinys, the Website, or Erinys products or services (“Feedback”), Erinys may use that Feedback for any lawful business purpose, including improving or developing products, services, features, documentation, or business operations, without compensation or obligation to you.

7Privacy and Cookies

Erinys’s collection, use, disclosure, and protection of personal information in connection with the Website are described in Erinys’s Privacy Policy. Erinys’s use of cookies and similar technologies is described in the Cookie Policy and any cookie banner or preference tool made available through the Website.

If Erinys processes personal information contained in customer data on behalf of a customer through the Erinys platform, that processing is governed by the applicable customer agreement, order form, and data processing addendum, not solely by these Terms.

8Intellectual Property

As between you and Erinys, Erinys owns and retains all right, title, and interest in and to the Website, Erinys products and services, software, interfaces, APIs, workflows, architectures, models, algorithms, prompts, documentation, reports, designs, graphics, logos, trademarks, service marks, text, materials, and all improvements, enhancements, derivatives, and intellectual property rights in any of the foregoing.

Except for the limited right to access and use the Website expressly granted in these Terms, Erinys does not grant you any right, title, license, or interest in or to any Erinys intellectual property. All rights not expressly granted are reserved by Erinys.

You may not copy, reproduce, modify, translate, distribute, display, publish, sell, license, create derivative works from, or otherwise exploit Website content except as expressly permitted by Erinys in writing or by functionality made available on the Website.

9Trademarks

The Erinys name, logos, product names, service names, graphics, and related marks are trademarks or service marks of Erinys or its licensors. You may not use any Erinys trademark, logo, or brand element without Erinys’s prior written consent, except as permitted by applicable law.

10Third-Party Websites and Services

The Website may contain links to third-party websites, resources, integrations, applications, services, or content. Erinys does not control and is not responsible for third-party websites or services. Your use of third-party websites or services is governed by the applicable third party’s terms and policies.

Erinys may use third-party service providers to operate, secure, analyze, host, support, and improve the Website and related business operations. Those providers may include hosting providers, cloud infrastructure providers, analytics providers, customer support tools, communications providers, security vendors, and payment or billing providers.

11No Legal Advice; No Attorney-Client Relationship

The Website and any information, materials, demonstrations, product descriptions, examples, case studies, blog posts, white papers, documentation, or communications made available through the Website are provided for general informational and business purposes only.

Erinys is not a law firm and does not provide legal advice or legal services. Use of the Website does not create an attorney-client relationship between you and Erinys, between Erinys and any customer’s client, or between Erinys and any other person. You are solely responsible for obtaining advice from qualified legal counsel regarding your own legal, regulatory, professional-responsibility, privacy, security, evidentiary-preservation, and compliance obligations.

12AI-Assisted Technology

Erinys products and services may use artificial intelligence, machine learning, automation, and other technologies to assist licensed attorneys and their supervised personnel with investigations, legal work product, and related legal support activities.

Any descriptions, examples, outputs, demos, or other materials made available through the Website are illustrative only and may not reflect the results, performance, suitability, or availability of Erinys products or services in any particular customer environment, matter, jurisdiction, use case, or factual context.

Erinys technology is designed to support, and not replace, the independent professional judgment of licensed attorneys. Customers and authorized users are responsible for reviewing, verifying, editing, approving, and determining the legal sufficiency and appropriateness of any output before relying on it, communicating it to a client or third party, filing it with any court or governmental authority, or otherwise using it in connection with legal services.

13Disclaimers

Any forward-looking statements, roadmaps, feature descriptions, release plans, performance descriptions, examples, or product availability statements on the Website are for informational purposes only and do not create binding commitments unless expressly included in a signed written agreement with Erinys.

14Limitation of Liability

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those jurisdictions, Erinys’s liability will be limited to the maximum extent permitted by applicable law.

15Indemnification

You will defend, indemnify, and hold harmless Erinys and its affiliates, officers, directors, employees, agents, service providers, licensors, and suppliers from and against any third-party claim, demand, action, proceeding, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your access to or use of the Website;
• information you submit through the Website;
• your violation of these Terms;
• your violation of applicable law or any third-party right; or
• your misuse of Website content or Erinys intellectual property.

Erinys reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Erinys’s defense.

16Changes to the Website and These Terms

Erinys may modify, suspend, discontinue, or restrict all or any part of the Website at any time without liability.

Erinys may update these Terms from time to time. When Erinys updates these Terms, Erinys will revise the effective date above and make the updated version available through the Website. To the extent permitted by applicable law, your continued access to or use of the Website after the updated Terms become effective constitutes acceptance of the updated Terms.

17Export, Sanctions, and Anti-Corruption Compliance

You may not access or use the Website in violation of applicable export control, sanctions, anti-corruption, anti-bribery, or international trade laws, including laws administered by the United States government. You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive U.S. sanctions, and that you are not identified on any applicable restricted-party list.

18Dispute Resolution; Arbitration; Class Action Waiver

18.1Informal Resolution

Before initiating any formal dispute resolution process, you and Erinys agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Website informally by providing written notice and allowing at least ten (10) business days for good-faith discussions, unless urgent injunctive or equitable relief is reasonably necessary.

18.2Arbitration

Except for claims that may be brought in small claims court or claims for temporary, preliminary, or permanent injunctive or equitable relief, any dispute, controversy, or claim arising out of or relating to these Terms or the Website will be finally resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect.

The arbitration will be conducted by a single neutral arbitrator in Wilmington, Delaware, unless the parties agree otherwise. The arbitrator will apply the Federal Arbitration Act and Delaware law, without regard to conflict-of-laws rules. Judgment on the award may be entered in any court of competent jurisdiction.

18.3Class Action Waiver

If a court or arbitrator determines that this class action waiver is unenforceable as to any claim, then the arbitration agreement will be void as to that claim, which must proceed exclusively in a court of competent jurisdiction.

18.4Small Claims and Injunctive Relief

Nothing in this Section prevents either party from bringing an eligible claim in small claims court or seeking temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect confidential information, intellectual property rights, security, privacy, or to prevent unauthorized use of the Website or Erinys technology.

19Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Website are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the arbitration agreement is governed by the Federal Arbitration Act.

For any dispute not subject to arbitration, you and Erinys consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

20Miscellaneous

These Terms, together with any policies or notices linked from these Terms, constitute the entire agreement between you and Erinys regarding your access to and use of the Website. These Terms do not modify any signed written agreement between Erinys and a customer unless that agreement expressly states otherwise.

You may not assign or transfer these Terms or any rights or obligations under them without Erinys’s prior written consent. Erinys may assign these Terms in whole or in part to an affiliate or in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

Erinys’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

No third party has any rights or remedies under these Terms.
